REGULATIONS ON OPERATION OF E-COMMERCE TRADING FLOOR

I. GENERAL PRINCIPLE

1. Purpose

The Muabannhadat.vn e-Commerce Trading Floor, carried out through the domain name “Muabannhadat.vn”, is an e-commerce hub serving demand for the introduction, sale and purchase of real estate online, including classified advertisements for real estate and advertising banners for real estate. The E-Commerce Trading Floor (as hereinafter defined) was established to provide maximum support for Users (as hereinafter defined) who wish to search online information for land and housing for both lease and sale. The mission of the E-Commerce Trading Floor is to be a convenient and reputable e-commerce trading platform for the real estate market in Vietnam, being a commercial bridge between Sellers (as hereinafter defined) and Buyers (as hereinafter defined), and between construction companies and people who have a demand for real estate.

2. E-Commerce Trading Floor Operation and Administration

The E-Commerce Trading Floor is owned, operated and administered by Asia Communication and Advertising Service Company Limited.

II. GENERAL PROVISIONS

1. Definitions

1.1 “Administration Board” means the administration board established by the Owner (as hereinafter defined) to supervise the E-Commerce Trading Floor;

1.2 “Buyers” means both buyers and lessees being both traders, organizations and individuals having demand for real estate information posted on the E-Commerce Trading Floor by Sellers;

1.3 “E-Commerce Trading Floor” means the Muabannhadat.vn e-commerce trading floor, carried out through the domain name “Muabannhadat.vn”;

1.4 “Members” means both Sellers and Buyers who register through the E-Commerce Trading Floor their required personal information to be officially recognized by the Administration Board of the E-Commerce Trading Floor as Members permitted to use the services of the E-Commerce Trading Floor;

1.5 “Owner” means Asia Communication and Advertising Service Company Limited;

1.6 “Regulations” means these regulations on operation of an e-commerce trading floor being the E-Commerce Trading Floor, as amended from time to time;

1.7 “Sellers” means both sellers and lessors being traders, organizations and individuals having demand for using services of the E-Commerce Trading Floor which include posting online classified advertisements to introduce real estate; and

1.8 “Users” means both Members and non-members who use the E-Commerce Trading Floor for the purpose of searching real estate listings and advertisements thereon.

2. Users and Members

2.1 Users

Users include both Sellers and Buyers and non-members who use the E-Commerce Trading Floor.

2.2 Member Registration Procedure

2.2.1 Sellers must register to become a Member and only after registration and acceptance as a Member will they be entitled to post online classified advertisements to introduce real estate.

2.2.2 Buyers do not need to register to become a Member but can do so if they wish. Registration as a Member will entitle Buyers to receive notifications by email from the E-Commerce Trading Floor in relation to new real estate listings etc. and an electronic newsletter on Real Estate and the Vietnamese Real Estate market.

2.2.3 When registering to become a Member, Sellers and Buyers must provide all requested information, following the procedures for membership application on the E-Commerce Trading Floor and will only become a Member after acceptance of membership by the Administration Board.

2.3 Terms of Use

2.3.1 All information provided by Members to the E-Commerce Trading Floor for the purpose of becoming a Member must be complete, transparent and accurate.

2.3.2 All information posted by Members on the E-Commerce Trading Floor or, when transacting with other Members must be complete, transparent and accurate.

2.3.3 The sale and/or lease of all real estate through this E-Commerce Trading Floor must be in accordance with law, and all Members advertising or listing such real estate must comply with all laws of Vietnam in relation to the sale or lease of such real estate, the advertising of such real estate and other laws of Vietnam.

2.3.4 Members are free to negotiate and contract with each other for the sale and/or lease of real estate posted on this E-Commerce Trading Floor and the E-Commerce Trading Floor/Owner shall have no liability or responsibility whatsoever for such negotiations and/or contract. Members must carry out their own due diligence on any real estate listed on the E-Commerce Trading Floor and the E-Commerce Trading Floor/Owner make no representations or warranties of any kind in relation to such real estate or the Member with whom they are negotiating or contracting. Members must ascertain for themselves their own legal responsibilities in relation to the listing of any real estate on this E-Commerce Trading Floor and/or the transacting in relation to any such real estate, including in relation to any tax liabilities that may arise therefrom.

III. TRANSACTION PROCEDURES

1. Procedure for Real Estate Buyers

Where a Buyer wishes to buy/lease real estate listed on the E-Commerce Trading Floor, a Buyer should conduct the following steps:

- Search for and carry out due diligence on the real estate and the Seller that the Buyer is interested in.

- Review information on the price and support policies of the Seller of the real estate that the Buyer wishes to buy. The Buyer can refer to information of similar real estate of other sellers posted on the E-Commerce Trading Floor to make comparisons on price and terms in order to determine whether to buy or lease such real estate).

- Based on the reference/contact information provided by the Seller on the E-Commerce Trading Floor, the Buyer can contact the Seller for more information about the real estate or to meet with the Seller to discuss the real estate.

- After discussion and negotiation with the Seller, the Buyer can make a decision on whether or not to buy/lease the real estate but should carry out full due diligence on the real estate and the Seller and seek legal advice where necessary.

- The contract and payment terms are negotiated directly between the Buyer and the Seller and/or their representatives and agreed between the parties.

- The Buyer and the Seller sign a sale and purchase contract, or a lease in accordance with the terms agreed between the Buyer and the Seller and Vietnamese law and should seek legal advice where necessary.

- All queries and/or or complaints regarding the sale or lease of real estate should be raised and dealt with directly between the Buyer and the Seller.

- The E-Commerce Trading Floor and the Owner plays no part in the negotiation or contracting for the sale or lease of any real estate.

2. Procedure for Real Estate Sellers

2.1 Where a Seller wishes to list real estate on the E-Commerce Trading Floor for sale or lease, a Seller should conduct the following steps:

- Prepare information for listing in both words and pictures. Information to be posted must be divided into text and image format. Contents in text format should be typed in advance on a text editor software program (MS Word, OpenOffice) in Arial font, font size 10. Contents in image format must be in jpg, bmp, or gif format.

- In order to post information on the E-Commerce Trading Floor, the Seller should carry out the following steps in sequence:

- Create an account by registration to become a Member if the Seller has not already done so;

- Log into the account using their Member information registered with the E-Commerce Trading Floor at Muabannhadat.vn;

- Choose the offer type “For Sale” or “For Rent”;

- Choose the property type;

- Provide details of the location of the property including the Province/City, District and Ward;

- Complete the Listing Title and Description;

- Provide the price;

- Provide full details of the property with the Seller creating the text advertisement (describing the real estate in detail, related terms and conditions such as applicable taxes, transfer and/or change of land use right documents and contact information of the Seller);

- Upload photos of the property;

- Choose listing type being either paid or free;

- Make payment:

- Free listing: Charge 0 VND to MBND wallet;

- Paid: Charge applicable fee to MBND wallet;

- After creating a classified advertisement, the Seller should click "Post information".

2.2 The E-Commerce Trading Floor Administration Board will review uploaded information. All information in breach of these Regulations will be deleted. If a Member repeats a breach on more than one occasion, the Administration Board may lock the Member account in its sole discretion.

3. Procedures for Delivery, Receipt and Forwarding

3.1 Due to the nature of the E-Commerce Trading Floor specializing in real estate classified advertisements, the form of delivery/ receipt is hereby understood to mean the transfer of contracts and papers relating to such real estate between the Buyer and the Seller. The Buyer and Seller shall agree between themselves on the method of delivery of contracts and papers relating to the real estate and the E-Commerce Trading Floor shall have no role or responsibility in relation thereto.

3.2 The E-Commerce Trading Floor requires the Seller to provide full information on the real estate being sold or leased, the terms and conditions for sale/lease and Seller contact information when posting advertisements. Buyers need to read the Seller's terms and conditions carefully in each classified advertisement. The E-Commerce Trading Floor recommends that Buyers read the "comment" section below each real estate listing to assist with ascertaining the credibility of the Seller, to carry out full due diligence on the real estate in question and the Seller and to obtain legal advice where necessary.

4. Policy on confirmation/ cancellation of orders

Due to the nature of the E-Commerce Trading Floor specializing in real estate classified advertisements listed by third parties, confirmation and cancellation of agreements for the sale and lease of real estate shall be subject to agreed contractual terms, freely negotiated between the Buyer and the Seller and Vietnamese law.

5. Policy on change/ return of real estate and repayment

Due to the nature of the E-Commerce Trading Floor specializing in real estate classified advertisements listed by third parties, change and return of real estate bought or leased and repayment shall be subject to agreed contractual terms, freely negotiated between the Buyer and the Seller and Vietnamese law.

6. Policy on Warranty/ Maintenance

Due to the nature of the E-Commerce Trading Floor specializing in real estate classified advertisements listed by third parties, warranties and maintenance policies for real estate bought or leased shall be subject to agreed contractual terms, freely negotiated between the Buyer and the Seller and Vietnamese law.

7. Procedures for Resolution of Disputes and Complaints

7.1 When a Member has a complaint regarding the real estate advertising services provided by the E-Commerce Trading Floor, they can raise such complaint through the following steps:

- Step 1: The Member can make a complaint via email to: info@muabannhadat.vn.

- Step 2: The Customer Service Department of the E-Commerce Trading Floor will receive the complaint from and, depending on the nature and seriousness of the complaint, the E-Commerce Trading Floor will provide specific measures to support the Member to resolve such complaint.

- Step 3: Where the case is beyond the capacity and competence of the E-Commerce Trading Floor, the Administration Board will request the Member to refer the case to the competent state authority for resolution in accordance with law.

7.3 The E-Commerce Trading Floor/Owner respects and strictly implements the provisions of the law on protection of the rights of Buyers (consumers). Therefore, Sellers who post real estate classified advertisements on the E-Commerce Trading Floor must provide complete, accurate, truthful and detailed information relating to the real estate posted. Any acts of fraud or deception when advertising on the E-Commerce Trading Floor or negotiating with other Members are condemned and a breach of these Regulations, with the offending party being fully responsible before the law.

7.4 Any dispute between a Buyer and Seller must be resolved between the Buyer and Seller and the E-Commerce Trading Floor/Owner has no responsibility in relation to the subject matter of the dispute or for resolving such dispute. However, where a Buyer has a conflict with a Seller, the E-Commerce Trading Floor/Owner will provide necessary contact information collected on the relevant Seller to the Buyer in accordance with these Regulations and Vietnamese law. By using the E-Commerce Trading Floor, Sellers consent to release of such information to Buyers and acknowledge that such release of information is not a breach of the E-Commerce Trading Floor’s Privacy Policy or Vietnamese law.

7.5 The E-Commerce Trading Floor/Owner reserves the right, in its sole discretion, to issue warnings to Members for a beach of these Regulations as determined by it in its sole discretion, to remove any or all advertisements posted by a Member, to lock the account of a Member or cancel a Member’s membership of the E-Commerce Trading Floor, and such Member shall have no recourse against the E-Commerce Trading Floor/Owner for any such action. The E-Commerce Trading Floor/Owner may also refer any breach of law to the competent authorities in Vietnam.

IV. PAYMENT PROCEDURES

1. Method of Payment between Buyers and Sellers

Payment between Buyers and Sellers of real estate advertised on the E-Commerce Trading Floor shall be subject to negotiation between the parties, any agreed contractual terms and Vietnamese law.

2 Method of Payment between Members and the E-Commerce Trading Floor/Owner

Payment between Members and the E-Commerce Trading Floor/Owner can be through cash, credit card, bank transfer or third-party wallet, with payment options further detailed on the E-Commerce Trading Floor.

V. ASSURANCE OF TRANSACTION SAFETY

1. The Administration Board has procedures in place to protect the information content posted on the E-Commerce Trading Floor. To ensure that transactions are successfully conducted and minimize the risks that may arise:

  • A Seller must provide complete information (name, address, phone number, email) on each posted article;

  • A Buyer should exercise care when providing payment details/information to anyone by email, the internet or any other forms and the E-Commerce Trading Floor/Owner is not responsible for damages that a Buyer suffers as a result of exchange of Buyer information.

  • Before making any advance payment to a Seller, the Buyer should carry out full due diligence on the real estate in question, the Seller and seek legal advice where necessary.

  • A Buyer should review information about the Seller and the Seller’s reliability through the "comments" section on the E-Commerce Trading Floor.

2. Members are prohibited from using any program, tool or means to interfere with the E-Commerce Trading Floor’s systems or to alter data in the E-Commerce Trading Floor’s system. It is strictly forbidden to distribute, spread or advocate any activity to interfere with, sabotage or infiltrate into the E-Commerce Trading Floor’s system. All violations will be handled in accordance with these Regulations and provisions of law.

3. All transaction information is kept confidential, except where otherwise stated in these Regulations or when required to be disclosed by law or Vietnamese regulatory authorities.

VI. POLICY ON PROTECTION OF USER PERSONAL INFORMATION

1. Purpose of Collection of Personal Information

1.1 The main data collected on the E-Commerce Trading Floor includes: the full name, email address, phone number, login name, login password and address of Members. This information is compulsorily required to be submitted by all Members when they register for an account so that the E-Commerce Trading Floor can confirm registration of the account with the Member and to ensure transparency for Users when using the services offered through the E-Commerce Trading Floor.

1.2 Members are responsible for ensuring the security and confidentiality of their login names, passwords and emails to prevent unauthorized access. Members are also responsible to notify the E-Commerce Trading Floor in a timely manner of any unauthorized use, abuse or breach of confidentiality relating to their login name or password by third parties so that the E-Commerce Trading Floor can work with the Member to take appropriate action.

1.3 By signing up to the E-Commerce Trading Floor, Members consent to the collection and use of that Member’s personal data and information provided in accordance with the terms of these Regulations. The E-Commerce Trading Floor uses the information provided by Members to:

- Provide services to Members;

- Send notifications to Members regarding listings and interest in listings;

- Supervise and prevent unauthorized activities on the E-Commerce Trading Floor and unauthorized Member account use; and

- Contact Members where necessary in relation to their account or to resolve complaints.

1.4 The E-Commerce Trading Floor does not use personal information of Members for purposes other than for confirmation of Member details for purposes of E-Commerce Trading Floor management and for contacting Members in relation to listings and transactions on the E-Commerce Trading Floor.

1.5 Member information is kept confidential. However, where required by law or as otherwise stated in these Regulations, the E-Commerce Trading Floor will provide Member personal information upon lawful request (as determined by the Administration Board in its sole discretion) from judicial and government agencies including: the Procuracy, the courts, Police investigation agencies.

2. Duration of Information Storage

Member personal data will be stored until requested to be removed by a Member or when a Member logs in and deletes their personal information from the E-Commerce Trading Floor. Members can freely update and delete their account information.

4. Means and tools for users to access and edit their personal data

4.1 Members can self-check, update, amend or cancel their personal information at any time by logging into their account and editing their personal information or by requesting the E-Commerce Trading Floor to do so.

4.2 Members have the right to submit complaints about disclosure of personal information to third parties (where such information has been disclosed other than in accordance with these Regulations or Vietnamese law) to the Administration Board. Upon receipt of such feedback, the E-Commerce Trading Floor will investigate and report back to the Member on the reasons for such disclosure and how to restore information security.

5. Undertaking to keep clients’ personal information confidential

5.1 The E-Commerce Trading Floor and Owner undertake:

  • that subject to the terms of these Regulations, personal information of Members shall be kept strictly confidential in accordance with the policy on protection of personal information of the E-Commerce Trading Floor contained in these Regulations;

  • not to use, transfer, provide or disclose to any third party a Member’s personal information without permission from such member, unless otherwise permitted in these Regulations;

  • to keep all online information of a Member absolutely confidential, except as otherwise specified in these Regulations.

5.2 Where the server storing Member information or the E-Commerce Trading Floor is hacked or compromised leading to disclosure of a Member’s personal data, the E-Commerce Trading Floor is responsible to inform the competent authorities for prompt investigation and handling and for notifying Members of such compromise.

VII. MANAGEMENT OF BAD INFORMATION

1. Responsibility of Members Using the E-Commerce Trading Floor

1.1 It is a condition of use of the E-Commerce Trading Floor and a requirement of the Administration Board when granting a Member membership of the E-Commerce Trading Floor that Members fully provide relevant personal information such as: their full name; email address, phone number. Members are responsible for the accuracy, truthfulness and legality of the above information.

1.2 Members must conduct their own due diligence in relation to real estate listed on the E-Commerce Trading Floor and in relation to any Seller or Buyer (as the case may be). Disputes between Buyers and Sellers in relation to accuracy of information provided on the E-Commerce Trading Floor or as a result of a listing on the E-Commerce Trading Floor or transaction resulting from advertisements on the E-Commerce Trading Floor must be resolved between the respective Buyer and Seller and the E-Commerce Trading Floor/Owner accepts no responsibility for inaccuracy of information provided by Members or any disputes that arise as a result.

1.3 Members must not use the E-Commerce Trading Floor for illegal or fraudulent purposes, to threaten or exploit other Members, to spread false information or to manipulate markets, to create fake sales offers, to spread viruses or interfere with E-Commerce Trading Floor systems, configurations or transmission of E-Commerce Trading Floor information. Breach of this provision may subject the Member to potential liabilities at law and cancellation of their membership in the sole discretion of the Administration Board.

1.4 Members may not copy, spread or distribute information obtained from the E-Commerce Trading Floor (in whole or in part, in original form or modified) to third parties without the consent of the E-Commerce Trading Floor/Owner. A breach of this term could result in an infringement of the Owner’s or other Member’s intellectual property rights.

1.5 When using the E-Commerce Trading Floor, Members may not engage in any acts that cause disrepute to the E-Commerce Trading Floor/Owner in any form, such as spreading false or malicious information, abusive language or that results in the disunity of Members, nor may Members use a second registered name or third parties to engage in such activities.

2. Prohibited Acts when Posting Advertisements or Banners on the E-Commerce Trading Floor

2.1 Advertising which discloses State secrets, or which harms national independence sovereignty, defence or security.

2.2 Advertising that negatively impacts the national flag, the national emblem, the national anthem or the flag of the Party, national heroes, culturally famous people, leaders or the leaders of the Party or of the State;

2.3 Advertising which discriminates ethnically or racially, which violates the religious belief freedom or religion, or which is prejudiced regarding gender or the disabled.

2.4 Advertising that is offensive or contrary to the historical, cultural or ethical traditions and fine customs of Vietnam.

2.5 Advertising that offends the prestige, honor and dignity of organizations or individuals.

2.6 Advertising that uses images or verbal or written words of an individual without the consent of such individual or breaches the intellectual property rights of a third party, except where permitted by law.

2.7 Advertising which is inaccurate, misleading or causes confusion regarding the qualifications or experience of a Member, the real estate or services being advertised or the ability of the Member to provide the advertised products, goods or services; or advertising or conduct causing confusion about the quantity, quality, price, use, design, packaging, trademark, origin, type, service method or warranty period of products, goods or services advertised.

2.8 Advertising by using the method of direct comparison between the price, quality, use or effect of the products, goods or services of an entity and the price, quality, use or effect of the products, goods or services of the same type of another organization or individual.

2.9 Advertising resulting in breach of the law on competition.

2.10 Advertising in breach of the law on intellectual property.

3. Review and Control of Information on the E-Commerce Trading Floor

3.1 Real estate classified advertisements will not be displayed immediately after posting by Members. Real estate information posted will be thoroughly reviewed prior to display by the content managing and editing team of the E-Commerce Trading Floor, who will block any information that they deem, in their sole discretion, to be a breach of the Regulations or law. The E-Commerce Trading Floor will also be continually monitored by the content managing and editing team of the E-Commerce Trading Floor for inappropriate content or content in breach of these Regulations or law.

3.2 The E-Commerce Trading Floor/Owner has the right to remove any advertisements or information posted by Members in its sole discretion where the E-Commerce Trading Floor/Owner deems that such advertisement or information is in breach of these Regulations or law, of for any other reason determined by the E-Commerce Trading Floor/Owner. Posted advertisements or information that do not match the specified categories within which they have been posted can be deleted or moved to another category by the E-Commerce Trading Floor in its sole discretion. If any Member is not happy with the moving of the advertisement or information to another category, they can remove the posting or email the E-Commerce Trading Floor to request removal.

3.3 The E-Commerce Trading Floor/Owner reserves the right to remove any advertisements or information posted on the E-Commerce Trading Floor for any reason, without prior notice, in its sole discretion.

VIII. RESPONSIBILITY IN CASE OF ARISING TECHNICAL ERRORS

1. The E-Commerce Trading Floor is committed to making efforts to ensure the safety and stability of the E-Commerce Trading Floor’s technical operating system. However, in case of technical errors with the E-Commerce Trading Floor, the E-Commerce Trading Floor will apply all reasonable measure to protect the interests of Members and to rectify such technical issues in a timely manner.

2. When performing transactions on the E-Commerce Trading Floor, Members must comply with all E-Commerce Trading Floor instructions and procedures.

3. The Administration Board is committed to providing the highest quality service to Members using the E-Commerce Trading Floor. In the event of occurrence of a technical error, software error or other objective errors that prevents a Member from using the E-Commerce Trading Floor, Members should notify the Administration Board via the email address: info@muabannhadat.vn, and the Administration Board will do its best to rectify the technical error in a timely manner.

4. The E-Commerce Trading Floor/Owner/Administration Board does not accept any responsibility or liability for technical problems with the E-Commerce Trading Floor or for any damages or losses (whether direct or indirect) that may result to a Member as a result of such technical error or due to unavailability of the E-Commerce Trading Floor and Members use the E-Commerce Trading Floor on a no liability basis to the E-Commerce Trading Floor/Owner/Administration Board.

IX. RIGHTS AND RESPONSIBILITIES OF THE ADMINISTRATION BOARD OF MUABANNHADAT.VN E-COMMERCE WEBSITE

1. Rights of the Administration Board

1.1 The E-Commerce Trading Floor will provide services to Members after they have completed the required procedures and conditions for membership set out on the E-Commerce Trading Floor.

1.2 Where the Administration Board, in its sole discretion, has grounds to believe that an applicant for membership or a Member has provided untruthful, inaccurate, misleading or incomplete information to the E-Commerce Trading Floor or that violates these Regulations or the laws or fine customs of Vietnam, the Administration Board/the E-Commerce Trading Floor has the right to refuse, suspend or terminate membership of the E-Commerce Trading Floor or the right to use services on the E-Commerce Trading Floor.

1.3 The Administration Board/E-Commerce Trading Floor may terminate a Member’s membership or their rights to use one or all of services of the E-Commerce Trading Floor if such member breaches these Regulations or engages in activities that affect the business operation of the E-Commerce Trading Floor, in their sole discretion and without prior notice.

1.4 The Administration Board/E-Commerce Trading Floor may consider terminating a Member's membership or right to use the services on the E-Commerce Trading Floor where such Member fails to participate in trading activities and/or exchange of information on the E-Commerce Trading Floor for a consecutive period of six (06) months. If such person wishes to become a member again and be re-granted with the right to use the services of the E-Commerce Trading Floor, he/she must re-register for membership as if a new member following the procedures for membership on the E-Commerce Trading Floor.

1.5 The Administration Board/E-Commerce Trading Floor may, in its sole discretion, immediately terminate a Member's membership and/or rights to use the services on the E-Commerce Trading Floor if they detect that a Member is bankrupt, the Member has been convicted of a crime or is in the sentence service period for such crime, if the continuation of such Member’s membership may cause legal liability to the E-Commerce Trading Floor/Owner, where the Member is engaging in what appears to be fraudulent or misleading activities or activities that cause market disruption or disunity to other members of the E-Commerce Trading Floor, or engages in any other activities that breach these Regulations or applicable laws of Vietnam. In case of termination of a Member’s membership and any right to use services, all certifications and rights granted to such Member will automatically expire and be terminated.

1.6 The Owner exerts copyright in all E-Commerce Trading Floor material or information owned by it pursuant to the laws on intellectual property. Any breach of the Owner’s intellectual property rights in the E-Commerce Trading Floor or information contained therein, including acts of illegal copying, use and dissemination of the same, are strictly prohibited and subject to enforcement for breach of law.

1.7 The Administration Board/E-Commerce Trading Floor reserves the rights to change the service tariff and payment method during the period of provision of services to Members in their sole discretion and will notify Members in advance via email and/or by publishing the changes in the personal member section of the E-Commerce Trading Floor with one month’s notice.

2. Obligations and Responsibilities of the Administration Board

2.1 The Administration Board is responsible for setting up and implementing the inspection and supervision mechanism to ensure the provision of information of Members on the E-Commerce Trading Floor is fully and accurately implemented as stipulated in Clause 4, Article 36 of Decree 52/2013/ND-CP.

2.2 The Administration Board/E-Commerce Trading Floor will carry out activities of promotion and marketing of the E-Commerce Trading Floor to foreign markets as permitted by law and contribute to expansion of the E-Commerce Trading Floor to new markets.

2.3 The Administration Board/E-Commerce Trading Floor will use its best efforts to maintain normal operation of the E-Commerce Trading Floor and to overcome incidents that interrupt the E-Commerce Trading Floor and that are within its control in a timely manner. However, the Administration Board/E-Commerce Trading Floor/Owner accept no responsibility for E-Commerce Trading Floor interruptions whether within their control or otherwise.

X. RIGHTS AND RESPONSIBILITIES OF THE PARTIES PARTICIPATING IN THE MUABANNHADAT.VN E-COMMERCE WEBSITE

1. Rights of Members

1.1 Members will be issued with a private name and password to be used for management of transactions on the E-Commerce Trading Floor or for posting classified advertisements or real estate by Sellers.

1.2 Members will receive instructions from staff of the E-Commerce Trading Floor on the use of tools and features of the E-Commerce Trading Floor.

1.3 Members have the right to raise ideas for the E-Commerce Trading Floor by direct mail, fax or email.

1.4 Members are entitled to make truthful comments on Sellers' real estate.

1.5 Members are entitled to send feedback via email or the E-Commerce Trading Floor hotline to the Administration Board.

2. Obligations of Members

2.1 Members are responsible to at all times comply with the Regulations.

2.2 Members are solely responsible for the confidentiality, storage and use of the services under their registered name, password and e-mail box.

2.3 Members are responsible for notifying the E-Commerce Trading Floor in a timely manner about acts of unauthorized use, abuse or security breaches involving their registration name, password or email.

2.4 Members must ensure that the information provided to the E-Commerce Trading Floor to become a Member and information uploaded on the E-Commerce Trading Floor is at all times accurate, honest and not misleading.

2.5 Members are solely responsible for all transactions that they enter into with other Members or as a result of information posted on the E-Commerce Trading Floor and for carrying out their own due diligence on real estate and other Members.

2.6 Members must not use the E-Commerce Trading Floor for illegal or fraudulent purposes, to threaten or exploit other Members, to spread false information or to manipulate markets, to create fake sales offers, to spread viruses or interfere with E-Commerce Trading Floor systems, configurations or transmission of E-Commerce Trading Floor information.

2.7 Members must not copy, spread or distribute information obtained from the E-Commerce Trading Floor (in whole or in part, in original form or modified) to third parties without the consent of the E-Commerce Trading Floor/Owner. A breach of this term could result in an infringement of the Owner’s or other Member’s intellectual property rights.

2.8 Members must not engage in any acts that cause disrepute to the E-Commerce Trading Floor in any form, such as spreading false or malicious information, abusive language or that results in the disunity of Members, nor may Members use a second registered name or third parties to engage in such activities.

XI. APPLICATION OF PROVISIONS

These Regulations officially take effect after five (5) days from the signing date of the Decision issued by the Owner together with these Regulations and the posting of the Regulations on the E-Commerce Trading Floor. The E-Commerce Trading Floor/Owner has the right to amend these Regulations at any time in its sole discretion by posting notification thereof on the E-Commerce Trading Floor for information of Members, with such amendments to take effect after five (5) days from the date that the Decision on amendment of the Regulations comes into effect and the amendments/ amended Regulations are posted on the E-Commerce Trading Floor. A Member's continued use of the E-Commerce Trading Floor and services offered through the E-Commerce Trading Floor after such announcement will constitute acceptance by the Member of such amended Regulations.

Members using the E-Commerce Trading Floor and services offered through the E-Commerce Trading Floor are responsible for complying with current Regulations when they use the E-Commerce Trading Floor or conduct transactions through the website.

XII. UNDERTAKING

By using this E-Commerce Trading Floor, Members agree to comply with these Regulations.
